Section 1Acceptance of Terms
By accessing or using the website located at usdotco.com (the "Site") and any services offered by USDOTCO, a trade name of Leeway LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use our Site or services.
These Terms constitute a legally binding agreement between you and USDOTCO. Your continued use of the Site or services after any modifications to these Terms constitutes your acceptance of those changes.
Section 2Description of Services
USDOTCO provides carrier compliance filing and registration services on behalf of motor carriers, freight brokers, and other transportation entities. Our services include, but are not limited to:
- USDOT number registration and updates
- Motor Carrier (MC) operating authority applications
- BOC-3 process agent designation filings
- Unified Carrier Registration (UCR) filings
- International Fuel Tax Agreement (IFTA) registration
- International Registration Plan (IRP) filings
- Heavy Vehicle Use Tax (HVUT / Form 2290) filings
- State-specific permit applications
- MCS-150 biennial updates
- Insurance filing assistance (BMC-91, BMC-34, Form E)
Important: USDOTCO is not a law firm and does not provide legal advice. We act as authorized filing agents and compliance service providers. We prepare and submit regulatory paperwork on your behalf based on the information you provide. We do not represent you in any legal proceedings, and our services do not constitute legal counsel. For legal advice regarding transportation regulations, you should consult a licensed attorney.
Section 3User Accounts and Responsibilities
To use certain features of our services, you may be required to create an account. When creating an account or submitting information for filings, you agree to:
- Provide accurate, current, and complete information as required for all filings and registration forms
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the security and confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access to or use of your account
You are solely responsible for the accuracy of the information you provide. USDOTCO files documents based on the data you supply. We are not responsible for delays, rejections, or penalties resulting from inaccurate, incomplete, or false information provided by you.
Section 4Payment Terms and Pricing
By purchasing services through USDOTCO, you agree to pay all applicable fees as displayed at the time of purchase. Our fees consist of two components:
- Service fees: Charges for USDOTCO's professional filing and compliance services
- Government fees: Fees required by federal or state agencies to process your registration or filing, which are passed through to you at cost
All prices are listed in United States Dollars (USD). We accept major credit cards, debit cards, and other payment methods as indicated on our Site. Payment is due at the time of service order unless otherwise specified.
We reserve the right to modify our service fees at any time. Price changes will not affect orders that have already been placed and confirmed. Government fees are set by the applicable regulatory agencies and may change without prior notice from USDOTCO.
Section 5Service Delivery and Timelines
USDOTCO will use commercially reasonable efforts to process and submit your filings in a timely manner. However, you acknowledge and agree that:
- Processing times for government filings vary and are determined by the relevant federal or state agency, not by USDOTCO
- We do not and cannot guarantee specific approval dates, processing timelines, or outcomes for any filing
- Government agencies may request additional information or documentation, which may extend processing times
- Delays caused by government shutdowns, backlogs, system outages, or other circumstances beyond our control are not the responsibility of USDOTCO
- Estimated timelines provided on our Site or by our staff are approximations only and do not constitute guarantees
Section 6Limitation of Liability
USDOTCO acts as a filing agent and compliance service provider. We do not guarantee the approval, issuance, or renewal of any registration, authority, permit, or filing submitted on your behalf. Decisions regarding approvals and denials are made solely by the applicable government agencies.
To the maximum extent permitted by applicable law, USDOTCO, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, or data, arising out of or related to your use of our services.
Our total aggregate liability to you for all claims arising from or related to these Terms or your use of our services shall not exceed the total amount of service fees paid by you to USDOTCO during the twelve (12) months immediately preceding the event giving rise to the claim.
This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if USDOTCO has been advised of the possibility of such damages.
Section 7Intellectual Property
All content on the USDOTCO website, including but not limited to text, graphics, logos, icons, images, software, and the overall design and layout, is the property of USDOTCO or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.
The USDOTCO name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of USDOTCO. You may not use such marks without our prior written permission.
Section 8Termination
We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
You may terminate your account at any time by contacting us at support@usdotco.com. Upon termination, your right to use our services will cease immediately. Termination does not entitle you to a refund of any fees already paid, except as outlined in our Refund Policy.
All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
Section 9Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Leeway LLC d/b/a USDOTCO is organized under the laws of the State of Delaware. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Delaware for the resolution of any disputes.
Section 10Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope of this agreement to arbitrate, the parties agree to first attempt to resolve the dispute through good-faith negotiation.
If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against USDOTCO.
Section 11Modifications to Terms
USDOTCO reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect, by posting the updated Terms on the Site and updating the "Last updated" date above.
Your continued use of the Site and services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
Section 12Indemnification
You agree to defend, indemnify, and hold harmless USDOTCO, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our services, or any information you provide in connection with our services, including any inaccurate or misleading information submitted for government filings.
Section 13Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
USDOTCO does not warrant that our services will function uninterrupted, secure, or error-free, that defects will be corrected, or that our Site or the server that makes it available are free of viruses or other harmful components.
Section 14Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms will continue in full force and effect.
Section 15Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and USDOTCO regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
